Client: Any individual or entity that engages our services.
Services: Professional services provided by Digital Consulting Ventures, including but not limited to talent recruitment, talent development, and accounting services.
Agreement: These Terms and Conditions along with any additional terms referenced herein.
Confidential Information: Any non-public information disclosed by either party, including but not limited to business strategies, financial data, and personal information of candidates or employees.

3. Services

3.1 Talent Recruitment

We provide comprehensive talent recruitment services, including sourcing, screening, and placement of candidates to meet your organisational needs.

3.2 Talent Development

Our talent development services encompass training programs, performance management, and professional growth initiatives designed to enhance your workforce's skills and capabilities.

3.3 Accounting Services

We offer a range of accounting services, including bookkeeping, financial reporting, tax preparation, and advisory services to ensure your financial operations are accurate and compliant.

All services are subject to availability and may be modified or discontinued at our discretion.

4. User Obligations

Compliance: You agree to comply with all applicable laws and regulations in using our services.
Accurate Information: You must provide accurate and complete information when engaging our services, including necessary documentation for recruitment and accounting purposes.
Account Security: If an account is required, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Confidentiality

Both parties agree to maintain the confidentiality of any Confidential Information disclosed during the course of the engagement. This includes, but is not limited to, candidate information, financial data, and proprietary business information. This obligation survives the termination of the Agreement.

6. Data Protection and Privacy

We are committed to protecting your privacy and ensuring the security of your data. Our Privacy Policy outlines how we collect, use, store, and protect personal and sensitive information. By using our services, you consent to the practices described in our Privacy Policy.

7. Limitation of Liability

To the fullest extent permitted by law, Digital Consulting Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, including but not limited to:

Errors or omissions in recruitment placements.
Inaccuracies in financial reporting.
Delays in service delivery.

Our total liability shall not exceed the amount paid by you for the specific service giving rise to the liability.

8. Indemnification

You agree to indemnify, defend, and hold harmless Digital Consulting Ventures, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of our services, violation of these Terms, or infringement of any rights of a third party.

9. Termination

9.1 Termination by Either Party

Either party may terminate the Agreement with written notice under the conditions specified in the service agreement.

9.2 Effect of Termination

Upon termination:

Talent Recruitment: We will cease all recruitment activities and return or securely destroy any candidate information as per your instructions.
Talent Development: Ongoing training programs will be halted, and any proprietary training materials will be returned or destroyed.
Accounting Services: We will finalise any outstanding financial reports and return your financial data securely.

You must cease all use of our services and return or destroy any proprietary information.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New South Wales, Australia.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, the parties agree to first attempt to resolve the dispute through informal negotiations. If the dispute cannot be resolved amicably, it shall be settled through Mediation in accordance with the rules of selected mediation body by Digital Consulting Ventures.

12. Force Majeure

Digital Consulting Ventures shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, or governmental actions.

13. Acceptable Use Policy

You agree to use our services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the services. Prohibited activities include, but are not limited to:

Engaging in illegal activities.
Transmitting harmful or malicious software.
Attempting to gain unauthorised access to our systems.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Digital Consulting Ventures regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
